Role Overview
The Board Secretary is responsible for maintaining accurate records, ensuring compliance with legal requirements, and facilitating effective communication among board members. This role requires strong organizational skills, attention to detail, and the ability to work collaboratively with the board and executive team.
Key Responsibilities:
- Meeting Management: Schedule and coordinate board meetings, ensure proper notice is given, and maintain accurate attendance records.
- Record Keeping: Take and distribute meeting minutes, ensuring they are accurate and comprehensive. Maintain all board records, including bylaws, policies, and financial reports.
- Compliance: Ensure adherence to legal and regulatory requirements, including maintaining up-to-date bylaws and tracking board member terms.
- Communication: Facilitate communication among board members, distribute meeting materials, and assist in new board member orientation.
- Governance Support: Provide guidance on governance best practices and support the board in making informed decisions.
Qualifications:
- Proven experience in governance or administrative roles.
- Excellent organizational and communication skills.
- Ability to maintain confidentiality and handle sensitive information.
- Familiarity with nonprofit governance and compliance is preferred.
